1. Agreement to Terms

Cho Ventures is the parent organization for a portfolio of affiliated brands and ventures. These Terms apply to your use of www.cho.ventures and may apply, in whole or in part, to affiliated properties where referenced.

  • You own or have the necessary rights to your User Submissions;

  • Your User Submissions do not infringe the rights of any third party;

We do not warrant that the Site will be uninterrupted, secure, error-free, or free of viruses or other harmful components, or that any content will be accurate, complete, or reliable.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL CHO VENTURES, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100.00) OR THE AMOUNT YOU PAID US, IF ANY, IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless Cho Ventures, its affiliates, and their respective officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Site;

  • Your violation of these Terms;

  • Your violation of any rights of a third party;

  • Any User Submissions you provide.

12. Termination

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including if we believe you have violated these Terms. Upon termination, all provisions of these Terms that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of laws principles. Any dispute arising out of or related to these Terms or the Site will be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and you consent to the personal jurisdiction and venue of those courts.

You agree that any cause of action arising out of or related to the Site must be commenced within one (1) year after the cause of action accrues; otherwise, it is permanently barred.

14. Changes to the Terms

We may revise these Terms at any time. When we do, we will update the "Last Updated" date at the top of this page. Material changes will be communicated through the Site or by other appropriate means. Your continued use of the Site after changes take effect constitutes your acceptance of the revised Terms.

15. Miscellaneous

Entire Agreement. These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Cho Ventures regarding your use of the Site.

Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

No Waiver. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision.

Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms freely.

Headings. Section headings are for convenience only and have no legal or contractual effect.
